  • Consultation Services: Strategy sessions to assess workflow and delegation opportunities
  • Account Management: Ongoing support and performance monitoring
  • Training and Development: Industry-specific training for virtual assistants
  • Backup Coverage: Secondary VA support to ensure service continuity

2.2 Service Limitations

  • We act as an intermediary service provider, not an employment agency
  • VAs remain independent contractors, not employees of the client
  • We do not guarantee specific business outcomes or results
  • Services are subject to VA availability and capacity

3. Eligibility and Account Requirements

3.1 Eligibility

To use our services, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction
  • Have the legal authority to enter into binding agreements
  • Operate a legitimate business or professional practice
  • Provide accurate and complete registration information

3.2 Account Registration

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access or security breaches
  • One account per business entity unless multiple accounts are pre-approved
  • False or misleading information may result in account suspension or termination

4. Service Packages and Trial Terms

4.1 Free Trial Period

  • Duration: 14 days from VA assignment date
  • Scope: Access to assigned VA for up to [8] hours a day during trial period
  • No Payment Required: No credit card or upfront payment necessary
  • Conversion: Trial automatically ends after 14 days; continued service requires active subscription

4.2 Paid Subscriptions

  • Monthly Plans: Recurring monthly billing for ongoing services

  • Service Levels: Different tiers available based on hours, specialization, and support level

4.3 Service Modifications

We reserve the right to modify service offerings, pricing, and terms with 30 days’ written notice to active clients.

5. Payment Terms and Billing

5.1 Pricing and Fees

  • All prices are listed in US Dollars unless otherwise specified
  • Pricing includes VA compensation, platform fees, and account management
  • Additional services (rush projects, specialized training) may incur extra charges
  • Applicable taxes will be added based on your billing location

5.2 Billing and Payment

  • Payment Schedule: Monthly billing in advance for subscription services
  • Payment Methods: Credit card, ACH transfer, or other approved methods
  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Late Payments: Services may be suspended for accounts 7+ days overdue
  • Failed Payments: Multiple failed payment attempts may result in service termination

5.3 Refunds and Credits

  • Trial Period: No charges during 14-day trial; no refunds necessary
  • Service Credits: Provided for documented service interruptions or quality issues
  • Cancellation: No refunds for partial months; service continues through paid period
  • Dispute Resolution: Payment disputes must be raised within 30 days of billing

6. Client Responsibilities and Obligations

6.1 Service Utilization

  • Clear Communication: Provide clear instructions and expectations to assigned VAs
  • Professional Conduct: Maintain respectful and professional interactions
  • Task Appropriateness: Ensure delegated tasks are suitable for remote completion
  • Feedback: Provide timely feedback on VA performance and service quality

6.2 Information and Access

  • Accurate Information: Provide truthful and complete business information
  • System Access: Grant necessary access to tools, platforms, and information required for task completion
  • Security: Maintain appropriate security measures for shared accounts and sensitive data
  • Compliance: Ensure all delegated tasks comply with applicable laws and regulations

6.3 Prohibited Activities

Clients may not:

  • Request VAs to perform illegal, unethical, or inappropriate tasks
  • Attempt to directly hire VAs outside our platform during active service period
  • Share login credentials or allow unauthorized access to our platform
  • Use services for competitor research or business intelligence gathering against Hire Virtuals

7. Virtual Assistant Standards and Performance

7.1 VA Qualifications

  • Pre-Screening: All VAs undergo comprehensive vetting and background checks
  • Industry Training: Specialized training in relevant business tools and processes
  • English Proficiency: Professional-level English communication skills
  • Work Schedule: Commitment to work during agreed-upon hours (typically US business hours)

7.2 Performance Standards

  • Quality Metrics: VAs are evaluated on accuracy, timeliness, and professionalism
  • Response Times: Standard response times during agreed working hours
  • Availability: Scheduled availability with backup coverage for absences
  • Professional Development: Ongoing training and skill development

7.3 Performance Issues

  • Escalation Process: Clear procedures for addressing performance concerns
  • Replacement Policy: VA replacement available for persistent performance issues
  • Documentation: Performance issues must be documented and communicated promptly

8. Intellectual Property and Confidentiality

8.1 Client Intellectual Property

  • Clients retain ownership of all intellectual property, data, and confidential information
  • VAs and Hire Virtuals receive limited license to use client information solely for service delivery
  • All work product created during service delivery belongs to the client

8.2 Hire Virtuals Intellectual Property

  • Hire Virtuals retains ownership of our platform, methodologies, and proprietary processes
  • Clients receive limited license to use our platform during active service period
  • Client feedback and suggestions may be incorporated into service improvements

8.3 Confidentiality

  • Non-Disclosure: VAs and Hire Virtuals staff sign comprehensive confidentiality agreements
  • Data Protection: Client information is protected according to our Privacy Policy
  • Security Measures: Industry-standard security protocols for data handling and storage

9. Limitation of Liability

9.1 Service Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR LIABILITY IS LIMITED TO THE AMOUNT PAID FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE DO NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES OR RESULTS

9.2 Force Majeure

We are not liable for service interruptions due to:

  • Internet outages, technical failures, or third-party service disruptions
  • VA illness, emergency, or unavailability beyond reasonable control

9.3 Third-Party Integrations

  • We are not responsible for failures or issues with third-party tools and platforms
  • Clients are responsible for maintaining their own accounts and licenses for business tools
  • Integration support is provided on a best-effort basis

10. Termination and Cancellation

10.1 Client Termination Rights

  • Trial Period: Cancel anytime during 14-day trial with no obligations
  • Monthly Subscriptions: Cancel with 30 days’ written notice
  • Immediate Termination: Available with forfeiture of any remaining service period

10.2 Hire Virtuals Termination Rights

We may terminate services immediately for:

  • Breach of Terms: Violation of these Terms or service agreements
  • Non-Payment: Failure to pay fees within specified timeframes
  • Inappropriate Conduct: Abusive or inappropriate behavior toward VAs or staff
  • Illegal Activity: Use of services for unlawful purposes

10.3 Post-Termination

  • Data Access: 30-day grace period to retrieve client data and information
  • Non-Solicitation: 12-month restriction on directly hiring assigned VAs
  • Final Billing: Pro-rated charges for partial service periods
  • Return of Materials: Return or destruction of confidential client information

11. Dispute Resolution

11.1 Initial Resolution

  • Direct Communication: Parties agree to attempt good-faith resolution of disputes
  • Escalation Process: Formal complaint procedures for unresolved issues
  • Mediation: Optional mediation through mutually agreed mediator

11.2 Binding Arbitration

  • Arbitration Requirement: Disputes not resolved through direct negotiation shall be settled through binding arbitration

  • Security: Users responsible for maintaining account security and access credentials
  • Prohibited Activities: No hacking, reverse engineering, or unauthorized access attempts

14.2 Content and Communications

  • User Content: Users retain ownership of uploaded content but grant us license for service delivery
  • Communication Monitoring: We may monitor communications for quality assurance and training
  • Content Standards: All communications must be professional and appropriate

14.3 System Availability

  • Service Levels: We strive for 99.5% platform uptime but do not guarantee uninterrupted access
  • Maintenance: Scheduled maintenance performed during low-usage periods with advance notice
  • Support: Technical support available during standard business hours

15.3 Technology and SaaS

  • Technical Skills: VAs with specialized technical training and certifications
  • Development Support: Support for software development processes and tools
